Terms of Service

These Terms of Service ("Terms") govern your access to and use of Zhongda Market (the "Platform"), operated as a marketplace connecting buyers with independent suppliers ("Sellers") of textile and apparel sourcing products. By creating an account or using the Platform, you agree to these Terms.

1. The Platform's Role

Zhongda Market is an intermediary marketplace. We provide the technical infrastructure that allows Sellers to list products and Buyers to request quotes and place orders. Unless explicitly stated otherwise, Zhongda Market is not the manufacturer or direct seller of the products listed on the Platform, and is not a party to the sale contract between a Buyer and a Seller.

2. Account Registration

You must provide accurate, current, and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account.

3. Seller Obligations

Sellers are solely responsible for the accuracy of their product listings, the authenticity and legality of the products they sell, and their compliance with applicable laws, including intellectual property rights. Counterfeit goods, unauthorized branded products, and any listing that misrepresents a product are strictly prohibited. Sellers must refer to the Seller Policy for additional obligations.

4. Orders, Quotes and Payments

Quotes requested through the Platform are not binding until formally accepted by both parties. Payment terms, currency, and methods are defined at the time of order confirmation. Zhongda Market may facilitate payment processing but does not guarantee the performance of either party.

5. Shipping and Delivery

Shipping timeframes, carriers, and costs are determined by the Seller or by Buyer Assistance services, where applicable. Zhongda Market is not liable for delays, loss, or damage occurring during transport, except where it directly provides logistics services.

6. Intellectual Property

Listings, product descriptions, and images must not infringe upon any third party's intellectual property rights. Zhongda Market reserves the right to remove any listing suspected of infringing such rights without prior notice.

7. Prohibited Conduct

• Listing counterfeit, replica, or unauthorized branded products;
• Providing false or misleading information about products, pricing, or identity;
• Circumventing the Platform's fees or communication channels for the purpose of evading these Terms;
• Engaging in fraudulent, abusive, or unlawful activity.

8. Limitation of Liability

To the fullest extent permitted by law, Zhongda Market shall not be liable for indirect, incidental, or consequential damages arising from the use of the Platform or from transactions between Buyers and Sellers.

9. Suspension and Termination

Zhongda Market may suspend or terminate any account that violates these Terms, the Seller Policy, or applicable law, at its sole discretion and without prior notice where warranted.

10. Changes to These Terms

We may update these Terms from time to time. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

11. Governing Law

These Terms are governed by the laws applicable at Zhongda Market's place of registration, without prejudice to any mandatory consumer protection rules applicable in your country of residence.
